1. Acceptance of Terms
By creating an account or otherwise using OpenCounsel ("the Service"), you agree to these Terms of Service. If you are registering on behalf of a firm, you confirm you have authority to bind that firm to these terms.
2. Description of Service
OpenCounsel is a practice-management platform for lawyers and law firms in Ghana — clients, matters, calendar, billing, and documents in one place. OpenCounsel is strictly a tool for managing a legal practice. It is not a lawyer directory, referral service, or marketplace, and does not connect prospective clients with lawyers.
3. Eligibility & Account Registration
The Service is intended for use by licensed legal professionals and law firms operating in Ghana. You are responsible for the accuracy of the information you provide at registration and for keeping your account credentials secure.
4. Subscription Plans & Billing
OpenCounsel is offered on a subscription basis across several plans, billed in Ghanaian cedis, with mobile-money billing supported. Fees are due in accordance with the plan you select, and plan details are published on our pricing page.
5. Client Data & Your Responsibilities as a Lawyer
You are the data controller for the information you enter about your own clients and matters (see our Privacy Policy for how OpenCounsel processes that data on your behalf). You remain solely responsible for your professional and ethical obligations to your clients, including attorney-client privilege and any applicable rules of the Ghana Bar Association, independent of your use of the Service.
6. Acceptable Use
You agree not to use the Service for any unlawful purpose, or in any way that could be construed as offering client referral, advertising, or lawyer-matching services — OpenCounsel is practice-management software, not a marketplace, and must be used accordingly.
7. Intellectual Property
OpenCounsel retains all rights to the platform, its software, and its branding. You and your firm retain all rights to the client and matter data, and any documents, you enter into the Service.
8. Termination
Either party may terminate an account in accordance with the applicable plan terms. Upon termination, your data is retained, exported, or deleted per your instructions and our Privacy Policy.
9. Disclaimers & Limitation of Liability
OpenCounsel is a software tool and does not provide legal advice. The Service is provided "as is," and to the maximum extent permitted by law, OpenCounsel is not liable for indirect, incidental, or consequential damages arising from your use of the Service.
10. Governing Law
These terms are governed by the laws of Ghana, and any disputes arising from them are subject to the exclusive jurisdiction of the courts of Ghana.

We may update these terms from time to time; the "Last updated" date above reflects the most recent revision. Questions about these terms can be sent through our contact page.
